Terms of Service

Agreement to terms

These Terms of Service (“Terms”) govern your access to and use of the Rezzymate websites, browser extension, desktop local agent, and related services (collectively, the “Service”) provided by Spatial LLC, a Washington limited liability company (“we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

The Service

Rezzymate helps you organize career-related information, generate resumes and related documents with AI assistance, track job listings and applications, and optionally interact with third-party sites (such as LinkedIn) through browser tools or a locally installed agent. Features, availability, and limits may change or end at any time without notice.

The Service is provided on an “as is” and “as available” basis. We do not guarantee that the Service will be uninterrupted, error-free, or suitable for any particular purpose, including securing employment or interview outcomes.

Accounts and security

You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly at our published support address if you suspect unauthorized access. We may suspend or terminate accounts that pose risk or violate these Terms.

Acceptable use

You agree not to:

  • Violate applicable law or third-party rights.
  • Submit false, misleading, or fraudulent information in resumes, profiles, or applications generated or stored through the Service.
  • Upload or distribute unlawful, harassing, defamatory, or infringing content, or content you do not have the right to use.
  • Probe, scan, or test the vulnerability of the Service, bypass security, scrape the Service at scale, or access data not intended for you.
  • Use the Service to automate actions on third-party websites in violation of those sites' terms, or in ways that could harm those services or other users.
  • Reverse engineer the Service except to the limited extent such restriction is prohibited by applicable law.

Your content and AI outputs

You retain ownership of content you submit to the Service (“User Content”), including career history, uploaded files, chat messages, and profile information, subject to the licenses below. You represent that you have the rights needed to submit User Content and to use AI-generated outputs as you choose.

You grant Spatial LLC a worldwide, non-exclusive, royalty-free license to host, reproduce, process, adapt, display, and create technical derivatives of User Content solely to operate, secure, maintain, and improve the Service, including routing content to subprocessors described in our Privacy Policy.

AI-generated resumes, summaries, suggestions, and other outputs may be inaccurate, incomplete, or unsuitable for your situation. You are solely responsible for reviewing, editing, and verifying all outputs before use. We do not guarantee that outputs will be unique, truthful, compliant with employer requirements, or free of third-party claims. Use of AI features may also be subject to third-party model provider terms.

Third-party services

The Service may integrate with or link to third-party platforms (including authentication, storage, AI, job boards, LinkedIn, and application websites). Your use of those services is governed by their own terms and policies. We are not responsible for third-party services outside our reasonable control, including downtime, policy changes, account restrictions, or data handling by those parties.

If you install the Rezzymate browser extension or local agent, those components run on your device and may interact with pages you visit. You are responsible for how you use them and for complying with applicable third-party site rules.

Our intellectual property

Rezzymate branding, software, templates, and documentation are owned by Spatial LLC or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted here, no rights are granted to you.

Fees

If we offer paid plans, fees and billing terms will be presented at purchase. Unless required by law or a separate written agreement, fees are non-refundable. We may introduce or change fees with reasonable notice where the Service is currently free.

Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, risk to the Service or others, or legal requirements. Upon termination, your right to use the Service ceases. We may delete content according to our Privacy Policy and retention practices.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, OR FREE OF ERRORS OR THIRD-PARTY CLAIMS, OR THAT USE OF THE SERVICE WILL RESULT IN EMPLOYMENT, INTERVIEWS, OR OTHER OUTCOMES.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Spatial LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE TO YOU FOR ANY MONETARY DAMAGES WHATSOEVER, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY AI OUTPUT, OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, WE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, BUSINESS, OR EMPLOYMENT OPPORTUNITIES. OUR AGGREGATE MONETARY LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS ZERO (US $0).

YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICE IS TO STOP USING THE SERVICE.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those cases, our monetary liability is limited to the minimum amount permitted by applicable law, which may be zero.

Indemnity

You will defend, indemnify, and hold harmless Spatial LLCand its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, your reliance on AI outputs, your interactions with third-party sites or employers, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

Governing law and venue

These Terms are governed by the laws of the State of Washington, excluding its conflict-of-law rules. You and Spatial LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in Washington for disputes arising out of or relating to these Terms or the Service, subject to injunctive relief sought in any court of competent jurisdiction.

General

These Terms constitute the entire agreement between you and Spatial LLC regarding the Service and supersede prior agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices may be given by email or in-product messages.
